American Lithium Corp. (TSXV: LI; OTCQX: AMLIF) said all seven director nominees were elected at its Vancouver annual general meeting, with Claudia Tornquist drawing 74.18% support and G.A. (Ben) Binninger 74.69%, against 97.61% to 98.94% for the other five.

American Lithium Corp. (TSXV: LI; OTCQX: AMLIF; Frankfurt: 5LA1) told shareholders that every nominee put forward for its board was elected at the annual general meeting held in Vancouver, British Columbia. The company also carried resolutions fixing the size of the board at seven directors and reappointing Davidson & Company LLP as auditor, with the board authorized to set the auditor's remuneration.

On paper this is routine housekeeping. The interesting part sits in the vote tallies, which show a shareholder base that is comfortable with most of the board and noticeably less comfortable with two of its members.

Five directors cleared 97%, two sat in the mid-70s

The ballot broke into two clear tiers. Alex Tsakumis drew 49,547,243 votes for, or 98.94%, with 531,717 withheld. Amandip Singh took 98.75% support and Rona Sellers 98.73%. Laurence Stefan came in at 97.61%, with 48,882,848 for and 1,196,112 withheld. Andrew Bowering, a familiar name in Vancouver-listed resource finance, was elected with 47,045,843 votes for, or 93.94%, and 3,033,117 withheld.

Then the gap. Claudia Tornquist received 37,148,590 votes for, or 74.18%, with 12,930,370 withheld, a withhold rate of 25.82%. G.A. (Ben) Binninger was close behind at 37,403,316 for, or 74.69%, with 12,675,644 withheld.

In Canadian director elections shareholders cannot vote against a nominee; they either vote for or withhold. A withhold is therefore the only available protest, and a quarter of the ballot choosing it is the kind of number that boards and proxy advisers both notice, even when the nominee is comfortably elected. On the roughly 50,078,960 votes represented on each nominee — a figure implied by adding the for and withheld tallies, which are identical across all seven names — the roughly 24.8 percentage-point spread between the best-supported and least-supported nominee amounts to about 12.4 million shares that backed one director and not another. Those totals are arithmetic drawn from the disclosed tallies rather than separately reported figures.

The company did not explain the divergence, and no reason should be read into it beyond what the numbers show. Withhold campaigns in the junior mining space typically cluster around a handful of recurring issues: overlapping board commitments at other issuers, committee composition, compensation decisions, or dilution from successive equity financings. Any of those can be signalled through a single nominee without shareholders voting down a slate they otherwise support. The identical vote totals across nominees also indicate this was selective targeting by holders present or represented, not a broad withdrawal of confidence.

Board votes rarely move a share price, and the context here matters more than the tally.
